By downloading and using the Platform, you agree to these terms and conditions and our privacy policy. The following terms and conditions apply to your use of the Platform. This includes mobile and tablet versions, as well as any other version of MigraPay accessible via desktop, mobile, tablet, social media or other devices.

PLEASE READ THESE CONDITIONS CAREFULLY BEFORE DOWNLOADING AND USING THE FUNCTIONALITIES AVAILABLE ON THE PLATFORM.

1. Definitions

In these terms and conditions, the following words have the following meanings:

  • User, you and your: These words refer to persons or users who download the Platform and use the Services.
  • MigraPay, we, us, and our: These words are used to refer to the MigraPay Platform.
  • Platform: This word refers to the technology provided by MigraPay, which enables access to and use of the Service through your mobile phone or other electronic device.
  • Beneficiary: The beneficiary is the person to whom the User sends money through the Service.
  • eWallet: This refers to the stored value account into which your Remittance can be paid to the Beneficiary, usually accessible via the mobile phone of the recipient.
  • Payment Account: This means the debit card account, prepaid account or bank account (or other source of funds that MigraPay agrees to accept from time to time for use under this Agreement) that you provide to MigraPay to make payment for your use of the Platform. This account must be in your name and managed by a financial institution in your country.
  • Remittance: This means the transfer of funds that you request and authorise MigraPay to process through the Platform, in order to make a payment to the Beneficiary.
  • Service or Services: This refers to the Service of sending remittances to Beneficiaries residing in the countries where the Platform is available.

2. Acceptance of Terms

By downloading and using the Platform you agree to be bound by this agreement. If you do not agree to the terms of this agreement, you must not use our Platform. We may modify this agreement from time to time, and such modification will be effective upon posting on the Platform. You agree to be bound by any modification of these terms and conditions when you use MigraPay after the posting of such modification; therefore, it is important that you review this agreement regularly.

The Platform is not directed to persons under the age of 18. MigraPay does not knowingly collect information from persons under the age of 18. It is the responsibility of parents and legal guardians to determine whether use of the Platform or any of the content and functionality available on the Platform is appropriate for their child or ward.

By downloading and using the Platform, you represent and warrant that you have full right, power and authority to enter into this agreement and to fully perform all of your obligations hereunder. You further represent and warrant that you are not under any legal incapacity or contractual restriction that would prevent you from entering into this agreement.

3. Notifications

By using the MigraPay Platform, you consent to receiving communications from MigraPay through various channels, including but not limited to:

  • Email: For transactional, security, and promotional updates.
  • SMS/Text Messages: For alerts, verifications, and promotional content. Standard messaging rates may apply.
  • Push Notifications: Via mobile and web applications.
  • Phone Calls/Voice Messages: Including automated and live calls.
  • In-App Messaging: Notifications and updates within the app.
  • Social Media and Third-Party Platforms: Messages through connected accounts.
  • Postal Mail: For legal or compliance-related communications.
  • Browser Notifications: Real-time alerts in your web browser.
  • Chat Services: Via automated or live chat systems.

By using MigraPay services, you agree that such notifications are integral to the service, and you consent to receive them. You may opt out of receiving certain non-essential communications, such as promotional messages, by following the provided opt-out instructions or by managing your communication preferences within your account settings.

However, opting out of notifications may affect the delivery of certain services and limit your ability to receive critical account-related information, security alerts, or service updates. MigraPay is not responsible for any service disruption or loss of functionality resulting from your decision to opt out of communications.

You are responsible for ensuring that your contact information is accurate and up to date. MigraPay may use new or emerging communication technologies as they become available. We are not liable for communication failures due to factors beyond our control, such as network issues or incorrect contact details.

4. Account

Users will be able to register and open an account on the Platform. Only persons over 18 years of age may register. MigraPay reserves the right to carry out any necessary checks during or after registration. You are responsible for maintaining the confidentiality of your password and account information and are fully responsible for all activities that occur under your password or account. You agree to immediately notify MigraPay of any unauthorized use of your password or account or any other breach of security, and to ensure that you log out of your account at the end of each session. You may never use another user's account without MigraPay's prior authorization. MigraPay will not be not be liable for any loss or damage arising from your failure to comply with this agreement.

Users may cancel their accounts at any time and for any reason through the account settings or by sending us their request through our contact information. Such cancellation will only result in the deletion of the account and the deletion of all personal data provided to MigraPay. MigraPay reserves the right to terminate your account or your access immediately, with or without notice, and without any liability to you, if MigraPay believes that you have violated any of the provisions contained in these terms and conditions.

5. Identity Verification (KYC)

As part of the registration process and in order to use certain MigraPay features, all users must complete our Identity Verification (KYC) process.

In order to comply with our KYC policies, one or more of the following documents and information may be requested:

  • National ID card, passport or driver's license.
  • Proof of address, such as utility bills or bank statements.
  • Other documents and information that the Platform deems necessary to comply with applicable laws and regulations.

After submitting the required documentation, MigraPay will review the documents and respond within a reasonable period. MigraPay reserves the right to request additional information or documentation if deemed necessary.

Users are responsible for keeping their KYC information up to date. If there are any changes to the information provided, you must notify MigraPay and provide the appropriate updated documentation.

MigraPay reserves the right to deny, suspend or terminate access to Services if a user does not successfully pass the KYC process or if there is suspicion that the information provided is false, inaccurate or incomplete.

All information and documentation collected as part of the KYC process will be kept confidential and stored in accordance with our Privacy Policy and applicable data protection laws.

6. Services

The Platform and Services are only available in the following countries:

  • Canada
  • United States of America (Coming Soon!)

The user may use the Platform exclusively to send a remittance to a beneficiary located in a country where MigraPay offers payment Services, as set out on the Platform from time to time. MigraPay will process the remittance and make the funds available for receipt by the beneficiary.

Use of the Platform or Service does not establish or create a fiduciary or custodial relationship between you and MigraPay. MigraPay provides a remittance Service only; the funds you request MigraPay to pay to your beneficiary are not held by MigraPay as a deposit or in escrow, and MigraPay does not handle or process your remittance in a fiduciary capacity. MigraPay's sole responsibility is to make payment of your remittance to the beneficiary or return the principal amount of the remittance.

You should only use the Service to send remittances to persons with whom you have a personal relationship and meet in person, and you should not use the Service to make payments to unknown or untrusted third parties for goods or Services. If you choose to make payments to third parties for goods and Services using the Service, you should be aware that MigraPay has no control over, and assumes no responsibility for, the quality, safety, legality or delivery of such third-party goods or Services. Your use of the Service is at your own risk.

6.1 USD Virtual Account and Transfer Services

MigraPay may offer Users access to a USD virtual account and USD-initiated transfer services in the United States through a third-party provider, Bridge. These services are distinct from standard MigraPay remittance operations and are governed by Bridge’s own terms, conditions, and privacy policies.

By accessing or using the USD virtual account or initiating transfers from the United States, you acknowledge and agree to be bound by both MigraPay’s Terms & Conditions and the applicable terms of Bridge. MigraPay is not responsible for any loss, delay, or issue arising directly from Bridge’s systems, infrastructure, or service availability.

The terms and privacy policy of Bridge are accessible here, and users are encouraged to review them prior to using USD services. Use of this service constitutes acceptance of both MigraPay’s and Bridge’s respective policies.

7. Service Availability

The Service is generally available 24 hours a day, 365 days a year; however, there may be times when the Service is unavailable to you or your Beneficiary. Unavailability may be due to actions of MigraPay, such as temporary interruptions for updates or upgrades, as well as events beyond MigraPay's control, such as power outages, telecommunications failures, armed conflict or civil unrest, natural disasters or another force majeure.

8. Use Of The Service

To use the Service, you need to use the Platform to notify MigraPay to withdraw the principal amount of the Remittance from your Payment Account, plus any applicable fees and commissions. By requesting a Remittance, you authorise MigraPay to debit the principal amount of the requested Remittance and associated costs, if any, from your Payment Account. It is important to note that MigraPay is not obligated to process or complete a requested Remittance if, for any reason, it is unable to obtain the necessary authorisation or settlement of funds from your Payment Account to cover the principal amount of the Remittance and all applicable fees and charges.

MigraPay will provide you with detailed information about the fees and costs associated with providing the Service before you initiate a Remittance. These fees and charges are subject to change from time to time and may vary depending on a number of factors, such as the principal amount of your Remittance, the type of Payment Account you hold, your location and the location of your Payee.

In addition to fees and charges, MigraPay will also show you the exchange rate that will be applied to your Remittance before it is sent. This exchange rate determines the conversion of your funds into the currency that will be delivered to your Beneficiary and is subject to change periodically.

It is important to note that, in addition to the fees and charges you pay when sending a Remittance, MigraPay generates revenue when it converts the currency you send into the currency that is paid to your Beneficiary.

In the event that the charge to your Payment Account is rejected, reversed or cancelled for any reason after MigraPay has processed your Remittance request, you assume liability to MigraPay for the principal amount of the Remittance and all related fees and charges. You agree to pay such amounts, plus any applicable additional Service charges. You authorise us to debit your Payment Account for any of the above amounts.

The use of your debit card to make a Remittance may be subject to fees (including a cash advance fee) in accordance with your agreement with your bank or other financial institution issuing the card. You are advised to carefully review such card agreement for any applicable fees

Although MigraPay will make payment of the principal amount of your Remittance to your Beneficiary in the currency specified by MigraPay when initiating the Remittance, it is important to consider that your Beneficiary may face costs, fees or charges from your bank, mobile phone provider, E-Wallet issuer or other entities related to the maintenance or withdrawal of the funds. In addition, your Beneficiary's ability to use or withdraw the funds you send may be subject to restrictions stipulated by the terms and conditions of your Beneficiary's eWallet issuer

9. Referral and Loyalty Reward Program Tiers

The following terms govern MigraPay’s Referral Reward Program and Loyalty Reward Program (collectively, the “Reward Programs”). By participating in these programs, users agree to comply with the terms set forth herein. MigraPay reserves the right to modify or terminate the Reward Programs at any time, with or without prior notice, at its sole discretion.

Referral Reward Program

Eligibility

The Referral Reward Program is available to verified MigraPay users (“Referrers”) who invite new users (“Referred Users”) to the MigraPay platform.

  • A “Referred User” is defined as an individual who has not previously registered for or used MigraPay’s services.
  • Referral codes must be used during registration. Retrospective application of referral codes is not permitted under any circumstances.

Reward Criteria

Both the Referrer and the Referred User will earn a monetary reward in their MigraPay wallet balances, provided the following conditions are met:

  1. The Referred User successfully registers and enters the Referrer’s code during registration.
  2. The Referred User completes all account verification steps.
  3. The Referred User conducts an eligible international money transfer meeting the minimum transfer amount as specified by MigraPay.

Restrictions

  1. Rewards are exclusively applicable to international money transfers and are not valid for local transfers or wallet-to-wallet transactions.
  2. Each Referrer is prohibited from creating duplicate or fraudulent accounts to gain rewards.
  3. Transactions deemed to lack legitimate purpose or to artificially meet thresholds will be disqualified.

Prevention of Abuse

To maintain program integrity, the following actions are explicitly prohibited and may result in disqualification or account suspension:

  1. Self-Referrals: Referrers using their own referral codes, either directly or indirectly, through fictitious accounts.
  2. Artificial Thresholds: Initiating transactions without valid purpose, including but not limited to sending funds to known associates solely to claim rewards.
  3. Fraudulent Activity: Any activity detected by MigraPay’s monitoring systems that violates these terms or MigraPay’s policies.

Loyalty Reward Program

Eligibility

The Loyalty Reward Program is available to verified MigraPay users who complete international money transfer transactions.

Points are earned solely for transactions classified as international money transfers. Local transfers and wallet-to-wallet transactions are ineligible for points accrual.

Reward Criteria

  • Users earn reward points based on a percentage or fixed value determined by MigraPay, as specified in the program rules.
  • Points become redeemable only when the minimum threshold, as set by MigraPay, is reached.
  • Redeemed points are converted into monetary value and credited directly to the user’s MigraPay wallet balance.

Restrictions

  • Points have no cash value and are non-transferable except as provided under the program.
  • Any reversed or canceled transaction will result in the deduction of previously earned points.
  • Points earned through misuse, as determined by MigraPay, will be voided and forfeited.

Prevention of Abuse

  • Artificial Points Inflation: Engaging in repetitive or manipulative transactions to generate points.
  • Unauthorized Use: Sharing accounts, points, or rewards between multiple users.
  • Rapid Consecutive Transfers: Conducting rapid, small-value transactions solely to exploit the points system.

General Terms Applicable to Both Reward Programs

  1. Applicability: Both programs apply exclusively to international money transfers. Local and wallet-to-wallet transfers are excluded.
  2. Program Modifications: MigraPay reserves the right to amend the program rules, including but not limited to reward amounts, earning criteria, redemption thresholds, and applicable transactions, at its sole discretion. Such changes will take effect immediately upon updating the terms in this document or providing notice to users.
  3. Fraud Prevention: MigraPay employs fraud detection systems to monitor activity. Accounts identified as engaging in prohibited practices may be suspended or terminated without notice, and rewards may be forfeited.
  4. Final Authority: MigraPay retains the sole authority to interpret these terms and resolve any disputes. Decisions made by MigraPay regarding eligibility, rewards, and program violations are final and binding.
  5. No Guarantee: Participation in the Reward Programs does not guarantee the availability or receipt of rewards, which are subject to program rules and compliance requirements.

By participating in the Reward Programs, you acknowledge and accept these terms as legally binding. Any violation of these terms may result in disqualification from the programs, forfeiture of rewards, and additional actions as permitted under MigraPay’s policies.

10. Beneficiary Information

Caution is required when entering information about your Beneficiary. Be sure to accurately and completely provide the Beneficiary's name and verify that the telephone number provided is correct. You represent and warrant that all information provided on the Platform or otherwise to MigraPay is truthful and complete, including data relating to you, your Payment Account and your Beneficiary.

When MigraPay processes a Remittance Payment, it may rely on the registration information and Remittance information provided by you, including information relating to your Payee. It is important to recognise that any errors in the information provided, such as incorrect identification of Beneficiaries, inaccurate or inconsistent names or account numbers, as well as misspellings, are your responsibility.

11. Verification Of The Beneficiary

MigraPay reserves the right to establish identification and verification requirements for a Beneficiary to receive a Remittance. MigraPay may rely on identifying information or documentation provided by you or the Beneficiary, including any identifying code or number on the Remittance, at the time of payment to the Beneficiary. MigraPay further reserves the right to deny payment to the Payee if it cannot verify your identity or if there is a suspicion that you or your Payee is in violation of this Agreement or any applicable law, regulation or MigraPay policy. While MigraPay has the discretion to establish identification and verification requirements, it is important to note that MigraPay is under no obligation to implement such requirements.

12. Rejection Of Remittance Requests

MigraPay has the discretion to reject your Remittance request, refuse to complete it, or apply limitations on its value or frequency of use of the Service, without providing a reason or prior notice to you. However, MigraPay may suspend, delay or reject a Remittance Payment request in the following cases:

  • Where the value of one or more of your Remittance requests exceeds the limits set by MigraPay.
  • If MigraPay is unable to debit your Payment Account for the principal amount of the Remittance and the respective fees and commissions.
  • When your Remittance request is incomplete or unclear.
  • If MigraPay is unable to confirm your identity or verify the information provided in the registration or that of the Beneficiary, including the identity of the Beneficiary.
  • In case of suspected fraud, irregularities or illegal actions.
  • If your name or the name of your Beneficiary matches a name on one or more "watch lists" maintained by governments, intergovernmental agencies or MigraPay to prevent illegal activities.
  • Where MigraPay and/or designated Service providers are unable to process your request for any reason.

In the event that your Remittance request is rejected for any of the above reasons, MigraPay will notify you via text message (SMS), email or other reasonable means of notification.

Generally, if your Remittance request is rejected, MigraPay will refund the principal amount of the Remittance to your Payment Account, if it has already been withdrawn. However, in some circumstances, MigraPay may be required by law to withhold your Remittance or pay it to another entity, including a government agency. In such a case, MigraPay will inform you as permitted by applicable law.

MigraPay further reserves the right to suspend or delay the processing of any Remittance, or restrict a User’s access to services, where there is a reasonable suspicion of misuse, rate manipulation, fraudulent activity, or violation of this Agreement. Such actions may be taken without prior notice and may remain in effect pending investigation. Users may be required to provide additional documentation or clarification before the transaction is completed or access is restored.

13. Cancellation And Refund Policy

As MigraPay credits Remittances to Beneficiaries immediately, it is generally not possible to cancel or refund your Remittance. In the event that you have sent a Remittance in error, it is essential that you contact us within thirty (30) minutes of initiating the transaction, using the contact information provided.

If the Remittance has not yet been credited to your Beneficiary's account, we will issue a full refund within three (3) business days, including all fees, if applicable. However, if the Remittance has already been credited to the Beneficiary's account, we will make every effort to arrange cancellation or recovery of the Remittance, although it is important to note that we may not be able to do so successfully.

If you inform us that you have provided incorrect information, such as account number, telephone number or Beneficiary name when initiating your Remittance, we will make every effort to recover the funds from your Remittance. However, it is important to note that the possibility of recovery may be limited if your Remittance has already been processed or credited in accordance with the information provided.

You have the right to dispute any errors in your transaction free of charge. If you believe an error has occurred, we urge you to contact us using the contact information available within 180 days of sending your Remittance. Please provide your name, contact information, the Beneficiary's name, the date of the transfer and explain why you believe an error has occurred. MigraPay will conduct an investigation and determine if an error was made. The investigation process will be completed within ninety (90) days, and we will inform you of the results within three (3) business days after completion of the investigation. In addition, you have the option to request copies of any documents used in the investigation. In the event MigraPay is responsible for the error, we will refund you the full amount you paid, including fees, if any, within one business day or as soon as reasonably possible.

14. Prohibition Of Use Of Services

The Platform must not be used by any person in any jurisdiction or country where such use is prohibited by applicable law or regulation. This includes, but is not limited to, prohibiting the use of the Service to carry out Remittances that:

  1. Relate to criminal activity, fraud or other unlawful conduct.
  2. Exceed the transaction limits established by MigraPay, whether in terms of amount, frequency or other parameters.
  3. Are for the purpose of engaging in gambling activities, including betting or prize payments.
  4. Are deemed suspicious by MigraPay or may violate applicable laws or regulations, including those aimed at preventing money laundering, terrorist financing, human trafficking, fraud or compliance with currency and exchange rate regulations.

MigraPay monitors platform usage and transaction patterns to prevent fraud, rate exploitation, and abuse of services. In the event of suspected misconduct, MigraPay may initiate an internal investigation and suspend the User’s access to the Platform or its features during such review. Users agree to cooperate fully with any such investigation and understand that continued access may be restricted until the matter is resolved to MigraPay’s satisfaction.

By using the Service, you agree to only request Remittances that are in compliance with this Agreement, the applicable laws in your home country and the laws in force in the Beneficiary's country. In addition, you must use the Platform solely on your own behalf and you are not authorised to resell it or to carry out Remittances on behalf of another person or as an agent of a third party. You further agree to provide such information and documentation as MigraPay may require from time to time to comply with all applicable laws, including those relating to the prevention of money laundering. MigraPay reserves the right to refuse payment of any Remittance that it, in its sole discretion, deems not to be in compliance with applicable law and the terms and conditions set forth in this Agreement.

15. System Errors, Corrections, and User Responsibility

MigraPay reserves the right, without prior notice, to reverse, cancel, adjust, or correct any transaction that was processed based on a technical, operational, or system error. This includes, but is not limited to, display inaccuracies, backend logic faults, incorrect exchange rates, programming malfunctions, or any unintended pricing or transactional discrepancies.

If a User receives funds, benefits, or favorable rates as a result of such an error, whether or not the User was aware of the error at the time, MigraPay is entitled to recover the excess value. Recovery may include, but is not limited to:

  1. Reversal of the transaction;
  2. Deduction of the overage from the User’s wallet balance;
  3. Offsetting against future transactions;
  4. Or formal demand for repayment.

Failure by the User to cooperate or return such funds upon request may constitute unjust enrichment, misappropriation, or fraud, and may result in:

  1. Suspension or termination of the User’s account;
  2. Disqualification from reward or loyalty programs;
  3. Initiation of civil collection efforts or legal proceedings to recover the funds;
  4. Reporting to relevant authorities, where applicable.

Users have an affirmative duty to report any known or suspected errors, including but not limited to unusual rates, duplicated transactions, or wallet overfunding. Retention of such funds without disclosure may be treated as a violation of this Agreement and subject to enforcement.

By using the Platform, the User consents to these correction and enforcement rights and agrees to assist in any reasonable effort by MigraPay to recover funds resulting from system error or unintended benefit.

16. Limits On Remittances

From time to time, MigraPay may set limits on the value of remittances that you may send, both individually and over a period of time, as well as on the value of remittances that any beneficiary may receive. MigraPay may also delay payment of your remittance to ensure that it complies with applicable laws, regulations or policies. MigraPay reserves the right, without prior notice, to refuse to accept or pay any remittance that it, in its sole discretion, believes may violate any law, regulation or its policies, including those aimed at preventing money laundering, terrorist financing, fraud and other abuses of financial Services. If we accept a remittance and subsequently determine that it may violate any of these laws, regulations or policies, we may withhold the remittance until the matter is resolved.

17. Limitation Of Liability

The Platform endeavours to provide accurate and up-to-date information related to the remittance service. However, we do not guarantee the accuracy, completeness or suitability of the information provided, and we assume no liability for any errors or omissions in the information.

The Platform is not responsible for errors in the information provided by users of the service when sending a remittance. Users are responsible for verifying and providing accurate and complete beneficiary information, including name, account number and other necessary details. Any errors in beneficiary information are the sole responsibility of the user and will not give rise to liability on the part of the Platform.

The Platform is not responsible for the sending of remittances of illegal origin or any misuse of the Platform by users. Users agree to use the remittance service in a legal and ethical manner, complying with all applicable laws and regulations in their jurisdiction. Any misuse or illegal use of the platform by users shall be the sole responsibility of such users.

To the maximum extent permitted by applicable law, the Platform, its affiliates, directors, employees, agents and partners shall not be liable to users or third parties for any direct, indirect, incidental, special, consequential or punitive damages, including, without limitation, lost profits, loss of data, business interruption or any other similar damages or losses, whether in an action in contract, tort (including negligence) or other legal theory, arising out of or in connection with the use of or inability to use the Platform, even if the Platform has been advised of the possibility of such damages.

The Platform may use third parties and service providers to facilitate and enhance the provision of the remittance service. We assume no liability for the actions, omissions or negligence of these third parties and service providers, including any delay, error, loss or damage that may arise from their services or products.

The Platform complies with all applicable laws and regulations regarding the remittance service. However, users are responsible for complying with all local, state, national and international laws and regulations that may be applicable in their jurisdiction.

The Platform shall not be liable for any delay, failure or interruption in the provision of the remittance service due to causes beyond our reasonable control, including, but not limited to, natural disasters, acts of war, civil unrest, acts of terrorism, technical failures, infrastructure problems or any other force majeure.

18. License To Use The Platform

MigraPay grants you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the MigraPay Platform and downloadable through the App Store and Google Play Services free of charge, including but not limited to modified versions, updates, upgrades, enhancements, improvements, additions, additions and copies, if any. This license is for the sole purpose of allowing you to use the features available on the Platform in the manner permitted by these terms. You may not copy, modify, distribute, sell or lease any part of our Platform or the included software, nor may you reverse engineer or attempt to extract the source code of such software, unless such restrictions are prohibited by law, or unless you have our written permission.

The user agrees not to use the Platform and the Services in a negligent, fraudulent or unlawful manner. It also undertakes not to carry out any conduct or action that could damage the image, interests or rights of MigraPay or third parties.

MigraPay reserves the right to terminate the user's access immediately, with or without notice, and without liability to the user, if MigraPay considers that the user has violated any of these terms.

21. Prohibited Activities

The content and information available on the Platform (including, but not limited to, data, information, text, music, sound, photos, graphics, video, maps, icons or other material), as well as the infrastructure used to provide such content and information, is proprietary to MigraPay or licensed to the MigraPay by third parties. For all content other than your content, you agree not to otherwise modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or re-sell any information, software or Services obtained from or through the Platform. In addition, the following activities are prohibited:

  • Access, monitor, reproduce, distribute, transmit, broadcast, display, sell, license, copy or otherwise exploit any content of the Services, including but not limited to, using any robot, spider, scraper or other automated means or any manual process for any purpose not in accordance with this agreement or without our express written permission.
  • Violate the restrictions in any robot exclusion headers on the Services or bypass or circumvent other measures employed to prevent or limit access to the Services.
  • Take any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure.
  • Deep-link to any portion of the Services for any purpose without our express written permission.
  • "Frame", "mirror" or otherwise incorporate any part of the Platform into any other websites or Service without our prior written authorisation.
  • Attempt to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software programs used by MigraPay.
  • Circumvent, disable or otherwise interfere with security-related features of the Platform or features that prevent or restrict use or copying of any content.

22. Disclaimer Of Warranties

Because of the nature of the Internet MigraPay provides and maintains the Platform on an "as is", "as available" basis and makes no promise that use of the Platform will be uninterrupted or entirely error free. We are not responsible to you if we are unable to provide our Internet Services for any reason beyond our control.

Except as provided above we can give no other warranties, conditions or other terms, express or implied, statutory or otherwise and all such terms are hereby excluded to the maximum extent permitted by law.

You will be responsible for any breach of these terms by you and if you use the Platform in breach of these terms you will be liable to and will reimburse MigraPay for any loss or damage caused as a result.

MigraPay shall not be liable for any amount for failure to perform any obligation under this Agreement if such failure is due to the occurrence of any unforeseen event beyond its reasonable control, including, without limitation, Internet outages, communications outages, fire, flood, or any uncontrollable act of nature.

These terms do not affect your statutory rights as a consumer which are available to you.

Subject as aforesaid, to the maximum extent permitted by law, MigraPay excludes liability for any loss or damage of any kind howsoever arising, including without limitation any direct, indirect or consequential loss whether or not such arises out of any problem you notify to MigraPay and MigraPay shall have no liability to pay any money by way of compensation, including without limitation all liability in relation to:

  1. Any incorrect or inaccurate information on the Platform.
  2. The infringement by any person of any Intellectual Property Rights of any third party caused by their use of the Platform.
  3. Any loss or damage resulting from your use or the inability to use the Platform or resulting from unauthorised access to, or alteration of your transmissions or data in circumstances which are beyond our control.
  4. Any loss of profit, wasted expenditure, corruption or destruction of data or any other loss which does not directly result from something we have done wrong.
  5. Any amount or kind of loss or damage due to viruses or other malicious software that may infect a user's computer equipment, software, data or other property caused by persons accessing or using content from the Platform or from transmissions via emails or attachments received from MigraPay.
  6. All representations, warranties, conditions and other terms which but for this notice would have effect.

23. Electronic Communications

MigraPay will not accept any responsibility for failed, partial or garbled computer transmissions, for any breakdown, failure, connection or availability of computer, telephone, network, electronic or Internet hardware or software, for Internet accessibility or availability or traffic congestion or for any unauthorised human acts, including any errors or mistakes.

24. Indemnification

You agree to indemnify, defend and hold harmless the Platform, its officers, employees, affiliates and suppliers against any claims, losses, damages, costs and expenses (including reasonable legal fees) resulting from or related to your misuse of the Platform or violation of this clause.

25. Changes

We may change the Platform and these terms at any time, in our sole discretion and without notice to you. You are responsible for remaining knowledgeable about these terms. Your continued use of the Platform constitutes your acceptance of any changes to these terms and any changes will supersede all previous versions of the terms. Unless otherwise specified herein, all changes to these terms apply to all users take effect.

26. Integration Clause

This agreement together with the privacy policy and any other legal notices published by MigraPay, shall constitute the entire agreement between you and MigraPay concerning and governs your use of the Platform.

27. Severability

If any section of these terms is held invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired. Our failure to enforce or delay in enforcing any provision of these terms at any time does not waive our right to enforce the same or any other provision in the future.

28. Force Majeure

MigraPay shall not be liable for any failure to perform due to causes beyond its reasonable control, including, without limitation, fortuitous events, acts of civil authorities, acts of military authorities, riots, embargoes, acts of nature and natural disasters, and other acts that may be due to unforeseen circumstances.

29. Termination

Both the user and MigraPay acknowledge that failure to comply with these terms and conditions may result in termination of the agreement between both parties.

  • In case of non-compliance by the user: If the user fails to comply with any of the terms set forth in these terms and conditions, MigraPay reserves the right to unilaterally terminate the user's access to and use of the Platform. MigraPay may take this action without prior notice, and the User will automatically lose all rights to access and use the Platform. Furthermore, MigraPay shall not be liable for any loss of data or information associated with the user's account.
  • In case of non-compliance by MigraPay: If MigraPay fails to comply with its obligations under the agreed terms and conditions, the User shall be entitled to terminate the agreement and stop using the Platform. The user shall notify MigraPay in writing of the breach and allow a reasonable time for MigraPay to remedy the situation. If MigraPay does not remedy the breach within the set period, the user may proceed with the termination of the agreement.

Termination of the agreement shall not release either party from any obligations and liabilities that have arisen prior to the date of termination.

Continued use of the Platform after termination of the agreement by either party shall imply acceptance of the conditions set forth in the terms and conditions in effect at that time.

30. Disputes

The user agrees that any dispute, claim or controversy arising out of or relating to these terms and conditions, or the breach, termination, enforcement, interpretation or validity thereof or the use of the platform, shall be resolved by binding arbitration between the user and MYNE HUB, provided that each party retains the right to bring an individual action in a court of competent jurisdiction.

In the event that a dispute arises in connection with the use of the platform or breach of these terms and conditions, the parties agree to submit their dispute to arbitration resolution before a reputable arbitration organisation as mutually agreed by the parties and in accordance with applicable commercial arbitration rules.

To the fullest extent permitted by law, you agree that you will not file, join or participate in any class action lawsuit in connection with any claim, dispute or controversy that may arise in connection with your use of the platform.

The courts of Canada shall have jurisdiction over any dispute, controversy or claim relating to MigraPay and its business operations. Such dispute or controversy shall be brought and resolved in the courts of Canada.

31. Final Provisions

These terms and conditions are governed primarily by the laws of Canada, but also extend to the laws of the United States and the United Kingdom. Use of the MigraPay Platform is unauthorised in any jurisdiction that does not give effect to all provisions of these terms and conditions.

Our performance of these terms is subject to existing laws and legal process, and nothing contained in these terms limits our right to comply with law enforcement or other governmental or legal requests or requirements relating to your use of our Platform or information provided to or gathered by us with respect to such use.

Any rights not expressly granted herein are reserved.
